Considering Considering the Business as a "Seperate Entity Concept" in Law, he is very correct. A company is an independent person with its rights and liabilities appropriate to itself.
and that "the motives of those who took part in the promotion of the company are absolutely irrelevant in the discussion of what those rights and Liabilities are". That is, if he didn't close the business by himself, did he?.
There is a legal possiblity of 'lifting the corporate veil' which according to law expound instances where a business, by carefully observing it's modus operandi was established solely to defraud unsuspecting clients.
With such occurrence, the law openly cannot in any way seperate the activities of the owners from the business no matter it been registered as a Limited or unlimited company.
Menzgold on the other hand aside from the warnings later after years in it's operations by the Security Exchange commission, the company and its customers were cordially relating until they were officially shut down.
This scenario kind of make the whole Menzgold saga a bit complex since the buyer is expected in trade and business to be "aware" and conduct due diligence on it's part as a measure to ensure not to lose his/her money to carefully planned out fraudulent schemes.
